ADDING STATE & FOREIGN LEGENDS
--------------------------------------------------------
To comply with Regulation D our PPM Templates include NASAA Jurisdictional Legends. Our templates come standard with specific legends for: California, Delaware, Florida, Illinois, Nevada, New Jersey, New York, Pennsylvania, Texas and Washington. To add more states, puerto rico and/or foreign investment legends simply choose how many additional legends you would like to add (to the "right" of the picture above). During the checkout process you will be asked to choose which additional legends you need.
FORM D

We provide one blank Form D with your template package, however we also provide a custom service whereby our in-house staff will complete your Form D and file it for you (choose "Filing Form D" from the menu above).
BLUE SKY FILINGS
--------------------------------------------------------
Each State requires a "Blue Sky" filing which calls for Issuers (entrepreneurs offering a PPM) to file their Form D with their State along with another form, typically a U-1 or U-2. We include these forms in your template package, however we don't provide customizing for these forms. These forms should be filed within 15 days after receiving investment capital from an investor in any particular State.
