Raising Private Capital via Regulation D?
Why is Regulation D critical to successfully raising capital from private investors?
Many companies make the mistake of using only their business plan as a funding prospectus. While business plans are an important part of raising capital, they are not designed to "properly" raise capital from individual or group investors. [read more]
Are you serious about raising private capital?
If so, we encourage you to educate yourself on the practical requirements to raise capital from private investors. Correctly raising any amount of debt or equity capital from investors greatly surpasses just having a business plan documented - it requires a private securities offering and the proper disclosures to protect you and your company from over-zealous investors and attorney's.
Is my Personal Credit an Issue?
No. Of course it's always a good idea to have a favorable credit score, but private placements usually involve due diligence on management backgrounds, a strong business model, clear objectives, financial principles and other administrative issues. Investors may request your credit score, but that's not always the case.
How do I know if I'm ready for a Regulation D Offering?
If you need capital for business expansion, general growth, acquisitions, seed capital, first round, second round, or just for marketing, you're ready for a Reg D Offering. Reg D is used to claim exempt status from registering your securities with the SEC and/or in any state. With Reg D any company can sell its stock shares to investors.[see NASAA rules and regulations for details]
How do I determine which offering rule to use?
We determine which regulation d rule to use based on the amount of capital you need to raise, and which state you're planning on doing your offering in. You can also request a specific rule. We will contact you to work out the details via your contact information.
